SOLUTION FOUND!

i just uninstalled Nvidia Network Manager and it works fine now - ANYONE with this installed should uninstall this.

This has been plagueing me for months. Thank you so much for this solution. I still hate Vista but this solved ALOT of the problems that I was having with other programs and hardware too.

add remove programs in safe mode....uninstall all of the drivers, then do a reinstall and choose not to install the network manager
